These Terms govern your use of the paky.io platform. By creating an account, requesting a quote, publishing capacity, or otherwise using the platform, you agree to these Terms. If you do not agree, do not use paky.io.
1. Who we are
paky.io is an online technology platform that connects carriers with spare road-freight capacity to shippers looking to move goods, and provides supporting tools (matching, messaging, documents, payment facilitation).
“paky.io”, “we”, “us” refers to the operator of the platform; “you” refers to any user, whether a carrier, shipper, driver, or visitor.
The platform is operated by Content Makers s.r.o., with registered office at Dlouhá 194/3, 702 00 Moravská Ostrava a Přívoz, Czech Republic, company number 07649517, VAT number CZ07649517, e-mail [email protected]. paky.io is a service of that company, and invoices for the platform fee are issued in its name.
2. What paky.io is — and is not
paky.io is an intermediary and technology provider only. We are not a carrier, freight forwarder, haulier, broker of record, transport operator, or a party to any transport, carriage, or freight-forwarding contract concluded between users.
The transport itself is arranged and performed exclusively by independent carriers, who act in their own name and on their own account. paky.io does not own, operate, or control any vehicle, does not take custody of any goods, and is not responsible for the performance of the transport.
paky.io does not guarantee payment, solvency, or the performance of any user. It does not underwrite, insure, or assume any transport risk. Where paky.io holds funds, it does so solely as a disclosed collection agent for the carrier and forwards them under these Terms; that role does not make paky.io a party to the transport contract or liable for its performance.
3. Accounts and eligibility
You must be a business acting in the course of trade, have legal capacity to contract, and provide accurate, current information. You are responsible for all activity under your account and for keeping your credentials secure.
Carriers must hold and maintain all licences, permits, and insurance required by law for the transport they perform, and warrant that they do. Carriers upload these documents themselves and paky.io displays them to the other side as uploaded. paky.io does not check their authenticity, validity, or coverage, performs no legal, financial, or safety assessment of any user, and gives no assurance about any user. Verifying a counterparty remains the responsibility of the party contracting with it.
4. How the service works
Shippers describe demand; carriers publish capacity; the platform proposes matches. A booking is formed when a carrier accepts and the shipper pays. Documents, tracking, and messaging are provided as convenience tools.
All information on the platform — including matches, scores, estimated times, prices, distances, CO₂ figures, and carrier ratings — is provided for guidance only, may be inaccurate or incomplete, and must not be relied upon as advice or as a guarantee of any outcome.
5. Carrier responsibilities and sole liability for transport
The carrier is solely and fully responsible for the transport and for the goods from pickup to delivery, including loss of or damage to cargo, delay, and any harm to persons or property, under the applicable law and conventions (including the CMR Convention where it applies).
The carrier is solely responsible for road-safety, driver hours, vehicle condition, customs, dangerous-goods (ADR) compliance, taxes, social-security and posting-of-workers obligations, and for holding adequate liability and cargo insurance.
paky.io bears no liability whatsoever for the transport, the goods, or the carrier’s acts or omissions.
6. Shipper responsibilities
The shipper warrants that the goods are lawful, correctly described, properly packed and labelled, and not prohibited or restricted, and that all declared data (weight, pallets, temperature, addresses, dangerous-goods status) is accurate.
The shipper is responsible for its own compliance, permits, and insurance, and indemnifies the carrier and paky.io against consequences of inaccurate or unlawful cargo information.
7. Prices, fees and payments
The shipper sees the carrier’s price and the platform fee as two separate amounts before booking; the carrier sees its payout up front. The platform fee tapers with the value of the load — 5 % up to EUR 500, 3 % up to EUR 1,500 and 2 % above — with a minimum of EUR 12 and a maximum of EUR 150 per booking, reduced to 1.5 % after five bookings and 1 % after twenty between the same shipper and carrier. Carriers pay no transaction fee. paky.io invoices only its own fee; the transport is invoiced by the carrier. Any optional paid service (for example PakyPay early payout) is disclosed separately before it is used.
Payment is made through the platform, either by card via our payment service provider or by bank transfer against an issued invoice. Where the shipper pays by card, paky.io receives the funds as a disclosed collection agent for the carrier and releases the carrier’s amount after proof of delivery has been uploaded. Funds held in this way are held for the carrier and are not paky.io’s property.
If the transport is not performed, the carrier’s amount is not released and is returned to the shipper. Disputes about whether the transport was performed are between the shipper and the carrier; paky.io may withhold release while such a dispute is open and will follow the outcome agreed between them or determined by a competent court. Nothing in these Terms excludes paky.io’s own liability for handling those funds.
Payment facilitation, where offered, does not make paky.io the debtor of the transport price or a guarantor of any user’s solvency. Taxes and VAT are the responsibility of the party legally liable for them; invoices reflect statutory rules including reverse charge where applicable.
8. No warranties — service provided “as is”
The platform is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, availability, or non-infringement, to the maximum extent permitted by law.
We do not warrant that the platform will be uninterrupted, error-free, secure, or that matches, carriers, shippers, prices, or data will meet your requirements or be accurate.
9. Limitation and exclusion of liability
To the maximum extent permitted by applicable law, paky.io excludes all liability arising out of or in connection with the platform, the intermediation, and any transaction or transport, including but not limited to:
loss of, damage to, delay of, or non-delivery of any goods;
any act, omission, default, insolvency, or misconduct of any carrier, shipper, driver, or third party;
the accuracy, legality, quality, safety, or suitability of any user, listing, match, price, document, or piece of data;
non-performance, cancellation, or dispute of any transport or booking;
any indirect, incidental, special, consequential, or punitive damages, or loss of profit, revenue, goodwill, data, or business, however caused.
Where liability cannot lawfully be excluded, paky.io’s total aggregate liability to you for all claims arising in any 12-month period is limited to the total fees actually retained by paky.io from you in that period, or EUR 500, whichever is lower.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable mandatory law (for example, for death or personal injury caused by our negligence, or for our fraud).
10. Your indemnity
You will indemnify and hold harmless paky.io and its operators, staff, and partners against all claims, losses, liabilities, fines, and costs (including legal costs) arising from your use of the platform, your transports or cargo, your breach of these Terms, or your breach of any law or third-party right.
11. Prohibited conduct and platform bypass
You must not misuse the platform, provide false information, infringe others’ rights, or circumvent the platform by contracting directly, off-platform, with a counterparty introduced through paky.io. Contact reveals and suspicious cancellations are logged, and we may restrict, suspend, or terminate access for breach.
12. Suspension and termination
You may close your account at any time. We may suspend or terminate access at our discretion, including for breach, risk, or legal reasons. Obligations already incurred (e.g. active bookings, payments due) survive termination.
13. Force majeure
paky.io is not liable for any failure or delay caused by events beyond its reasonable control, including outages, strikes, weather, war, sanctions, epidemics, or acts of third parties or authorities.
14. Governing law and disputes
These Terms are governed by the laws of the Czech Republic, excluding its conflict-of-laws rules and the CISG. The courts competent for the seat of the platform operator have exclusive jurisdiction, without prejudice to any mandatory consumer or protective rules that may apply to you.

We may update these Terms; the current version is always published here and applies from posting. Continued use means acceptance.
